These Terms of Service ("Terms") govern your use of the SimplyNotified website located at https://simplynotified.com, our mobile applications (iOS and Android), and any related services (collectively, the "Service") provided by SimplyNotified ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use our Service.

We reserve the right to review and modify these Terms at our sole discretion. When we make changes, we will update the "Last Updated" date above. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

1. Eligibility and Account Registration

Age Requirements

You must be at least 13 years old to use our Service. If you are under 18, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete that information as quickly as possible. If you believe a child under 13 has provided us with personal information, please contact us immediately.

Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

2. Mobile Application Terms

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our mobile application on devices that you own or control, solely for your personal, non-commercial use.

App Store Terms

If you download our mobile application from the Apple App Store or Google Play Store, you agree to comply with the applicable app store terms and conditions, including:

• Apple Media Services Terms and Conditions (for iOS users)
• Google Play Terms of Service (for Android users)

Device Permissions

Our mobile application may request the following permissions:

• Push Notifications: To send you updates from organizations you follow
• Internet Access: To connect to our servers and deliver content
• Storage: To cache content for offline viewing
• Camera/Photo Library: To upload profile pictures or content (optional)

You can manage these permissions through your device settings at any time. Denying certain permissions may limit functionality but will not prevent basic use of the Service.

Updates and Maintenance

We may release updates to our mobile application to add features, fix bugs, or improve performance. You agree to install updates when prompted. Failure to update may result in limited functionality or security vulnerabilities.

3. Subscription Services

Free and Paid Plans

SimplyNotified offers both free and paid subscription plans:

• Free Plan: Subscribe to up to 5 organizations with ad-supported content
• Paid Plans: Subscribe to more organizations with ad-free experience (pricing varies)

Subscription Limits

Free accounts are limited to 5 active subscriptions. To subscribe to additional organizations, you must upgrade to a paid plan. You can manage your subscriptions through your account settings.

Billing and Payments

If you upgrade to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless canceled before the renewal date
• Prices are subject to change with 30 days' notice
• All payments are processed securely through our payment processors
• You are responsible for all charges, including applicable taxes

Cancellation and Refunds

You may cancel your paid subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial subscription periods, except as required by law or at our sole discretion.

4. Push Notifications

Notification Service

Our Service includes push notification functionality to deliver timely updates from organizations you subscribe to. By enabling push notifications, you consent to receive notifications from SimplyNotified and the organizations you follow.

Types of Notifications

You may receive the following types of notifications:

• Instant Alerts: Urgent announcements from organizations (sent immediately)
• Scheduled Updates: Regular updates sent according to your notification schedule
• Group Notifications: Batched updates sent at your preferred times
• Service Notifications: Important account and service updates from SimplyNotified

Notification Management

You control your notification preferences:

• Enable or disable push notifications through device settings
• Customize notification schedule in app settings
• Manage alert preferences for individual organizations
• Opt out of non-essential notifications

Disabling push notifications may result in missed updates but will not affect other app functionality. We reserve the right to send critical service notifications regardless of your preferences.

5. SMS Messaging

Opt-In and Consent

Certain features of the Service allow you to receive text message alerts. By providing your mobile phone number and enabling SMS notifications, you consent to receive recurring messages from SimplyNotified and the organizations you follow. Message frequency varies based on your subscriptions and notification settings. Message and data rates may apply.

Opt-Out

You can stop receiving SMS messages at any time by replying STOP. For assistance, reply HELP or contact us at legal@simplynotified.com. Opting out of SMS does not affect email or push notifications you may have enabled.

Compliance and Content

You agree to comply with all applicable laws, CTIA guidelines, and carrier policies when using SMS features. You may not send unlawful, misleading, or unauthorized content through the Service. We may suspend or terminate SMS access for misuse, excessive complaints, carrier violations, or failure to maintain required opt-in consent.

Carrier Disclaimer

Mobile carriers and our SMS provider (Telnyx) are not liable for delayed or undelivered messages. We may retain SMS delivery records as needed for compliance, fraud prevention, and support.

6. Advertising

Ad-Supported Service

Free accounts are ad-supported. By using a free account, you agree to view advertisements displayed within the Service. Ads are provided by Google AdMob and other third-party advertising partners.

Ad Personalization

You can manage ad personalization preferences in app settings under "Privacy & Ads." You may choose between personalized ads (based on your interests) or non-personalized ads. This choice does not affect the number of ads displayed.

Third-Party Advertisers

We do not control the content of third-party advertisements. Advertisers are responsible for ensuring their ads comply with applicable laws. We are not responsible for the accuracy, content, or practices of third-party advertisers.

Ad-Free Upgrade

Paid subscribers receive an ad-free experience. To remove ads, upgrade to a paid plan through your account settings.

7. Content and Conduct

User-Generated Content

You retain ownership of content you create and post through the Service. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and modify your content in connection with operating and promoting the Service.

Prohibited Content

You may not post content that:

• Violates any law or regulation
• Infringes intellectual property rights of others
• Contains viruses, malware, or harmful code
• Is fraudulent, deceptive, or misleading
• Contains hate speech, harassment, or threats
• Promotes violence or illegal activities
• Contains adult content or is sexually explicit
• Violates privacy rights of others
• Is spam or unauthorized advertising

Content Moderation

We reserve the right to review, monitor, and remove any content that violates these Terms or is otherwise objectionable, at our sole discretion. We are not obligated to monitor content but may do so to ensure compliance.

Organization Content

Organizations using SimplyNotified are responsible for the accuracy and legality of their posts and updates. We do not endorse or verify the content posted by organizations. If you believe an organization has posted inappropriate content, please report it through the app.

8. Limitations of Use

By using this Service, you agree that you will not:

• Modify, copy, prepare derivative works of, decompile, or reverse engineer any part of the Service
• Remove any copyright or other proprietary notices from the Service
• Transfer, sublicense, or distribute the Service to any third party
• Use the Service in a way that abuses, disrupts, or damages our servers or networks
• Attempt to gain unauthorized access to any part of the Service or user accounts
• Use automated tools (bots, scrapers) to access the Service without permission
• Impersonate any person or entity, or falsely claim affiliation
• Harvest or collect user information without consent
• Use the Service for any illegal or unauthorized purpose
• Circumvent any technical limitations or security measures

9. Intellectual Property

The intellectual property rights in the Service, including software, design, text, graphics, logos, and trademarks, are owned by or licensed to SimplyNotified and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, personal, non-commercial license to access and use the Service for its intended purpose. This license does not include the right to reproduce, distribute, modify, or create derivative works, except as necessary for normal use of the Service.

This license automatically terminates if you violate these Terms. Upon termination, you must immediately cease all use of the Service and delete any copies of our software or content.

10. Service Availability

Uptime and Maintenance

We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

To the maximum extent permitted by law, SimplyNotified, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of third parties on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content or account
• Service interruptions, errors, or technical issues

In no event shall our total liability to you for all claims exceed the greater of $100 USD or the amount you paid us in the past 12 months.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

15. Termination

By You

You may terminate your account at any time by deleting it through account settings or contacting us. Upon termination, you will lose access to your account, subscriptions, and any associated data.

By Us

We may suspend or terminate your account immediately, without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. We are not liable for any loss or damage resulting from account termination.

Effect of Termination

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, liability, indemnification, and dispute resolution) will continue to apply.

Informal Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Jurisdiction

You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for all disputes arising from or relating to these Terms or the Service.

17. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SimplyNotified regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
